ANY PAYMENT TO US FOR THE USE OF THE APP OR PLATFORM IS FOR ACCESS TO THE SERVICES OF HEALTHCARE AND WELLNESS PRACTITIONERS OR ANY OTHER SERVICES MADE AVAILABLE THROUGH THE APP THAT ARE NOT INSURED HEALTH SERVICES AND ARE PREMIUM HEALTH AND WELLNESS SERVICES.

Introduction

The following Terms and Conditions (the "Terms and Conditions") govern your use of the Biscuit Health platform, including through the Biscuit Health mobile application (the "App") or the Biscuit Health Website (collectively the "Platform"). The Platform provides you with access to Health and Wellness Services and Information Tools (collectively the "Platform Services").

These Terms and Conditions form an agreement between Biscuit Health Inc. ("Biscuit Health") and you. The term "you" refers to the person or entity using the Platform or receiving any Platform Services.

By clicking "Begin Medical Intake", "Get Started", or checking the related checkbox in the App, you agree with these Terms and Conditions. If you do not accept and agree to be bound by these Terms and Conditions, do not use the Platform.

Biscuit Health reserves the right to amend any term of these Terms and Conditions at any time, providing you with 30 days' notice for material changes. Your continued use of the Platform Services following any amendment shall be deemed acceptance of the amended Terms and Conditions.

Use of Platform

Biscuit Health grants you a personal, revocable, non-exclusive and non-transferable license to use the Platform for the purpose of accessing the Platform Services in accordance with these Terms and Conditions.

The Platform is provided solely to: (1) give you access to services offered through the Platform, including Health and Wellness Services; (2) facilitate any payments from you to Biscuit Health; and (3) provide feedback and communicate with Biscuit Health in connection with any of the foregoing.

Platform Services

Health and Wellness Services

The Platform Services enable you to obtain access to healthcare professionals (including nurse practitioners, naturopathic practitioners, nurses, care counsellors, dietitians, and physicians) by video or audio appointments for consultations, and to receive related healthcare and administrative support services virtually or in-person at one of our clinic locations.

Healthcare Practitioners and Wellness Practitioners on the Platform are licensed or accredited to practice by their applicable regulated health profession. Any payment made to Biscuit Health for the use of the App is for access to services that are not Insured Health Services ("Premium Health and Wellness Services").

Healthcare Practitioners may prescribe medication to you and may direct prescriptions to our preferred pharmacy. You should report any medication reactions or adverse events to your family physician or, if none, to the nearest walk-in clinic or emergency room, or call 911 if any reaction is an emergency.

Healthcare Practitioners are independent of Biscuit Health and are solely responsible for the provision of Health and Wellness Services to you. Biscuit Health is not engaged in the practice of medicine, nursing, naturopathy, or any other regulated health profession for the purpose of providing Health and Wellness Services.

Information Tools

The Platform provides access to various health and wellness informational tools ("Information Tools"). The Information Tools provide health and wellness information and not medical advice, diagnosis and/or treatment. Our Information Tools are not a substitute for a doctor or other healthcare professional. The Information Tools should not be used in an emergency — call 911 or contact emergency services in an emergency.

Consent to Treatment

By accessing and using the Platform to access Health and Wellness Services, you consent to be treated by Healthcare Practitioners. You may withdraw your consent to receive Health and Wellness Services at any time by ending your consultation with the Healthcare Practitioner.

Availability to Minors

You must be at least 16 years of age to create a User Account. If you are between 16 and the age of majority in your jurisdiction of residence, you must have the permission of a parent or guardian. The Health and Wellness Services may be available for use by children at the discretion of the Healthcare Practitioner, but the User Account for all patients under the age of 16 must be the patient's parent or legal guardian.

Privacy and Your Personal Information

Please review the Biscuit Health Privacy Commitment, which describes the manner in which we collect, use, store and disclose your personal information and is hereby incorporated into and forms a part of these Terms and Conditions.

Technology Risks

Virtual care is the delivery of Health and Wellness Services at a distance using information and communication technologies. Potential material risks include poor audio/video connections, delays in evaluation or treatment, limitations on access to your personal health records maintained outside the Platform, and unauthorized access to your personal information due to a security protocol breach. By consenting to receive Health and Wellness Services using the Platform, you acknowledge and understand these potential risks.

User Account

You may be required to create a User Account using your email address and a password. You will keep your password secure and will not share it with anyone else. Biscuit Health reserves the right to disable any User Account at any time in the event of a breach of these Terms and Conditions.

Fees and Payments

Biscuit Health will not charge you any Fees for any Insured Health Services. For Premium Health and Wellness Services, Biscuit Health may charge fees in accordance with its then-current fee schedule. All Fees are quoted in Canadian dollars exclusive of applicable taxes and are non-refundable.

Choice of Pharmacy

To ensure quality, efficiency and to benefit from preferred pricing, custom-tailored prescriptions, including our allergy treatment medication, can only be dispensed by our preferred pharmacy. Prescriptions stamped by our Healthcare Practitioners are not valid at any other pharmacy.

Disclaimer

TO THE FULLEST EXTENT PERMITTED BY LAW, BISCUIT HEALTH PROVIDES THE PLATFORM AND THE CONTENT WITHOUT WARRANTY OR CONDITION OF ANY KIND. USE OF THE PLATFORM OR THE CONTENT IS AT YOUR OWN RISK.

Limitation of Liability

WITH RESPECT TO ANY DIRECT DAMAGES, THE TOTAL AGGREGATE LIABILITY OF BISCUIT HEALTH IN CONNECTION WITH THESE TERMS AND CONDITIONS OR YOUR USE OF THE PLATFORM IS LIMITED TO $20.00.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by the laws of the Province where you reside and the laws of Canada applicable therein. If you reside outside of Quebec, the courts of the Province of Alberta shall have exclusive jurisdiction. If you reside in Quebec, the courts of Quebec shall have exclusive jurisdiction.
